These Terms & Conditions ("Terms") govern your use of the PlantID Pro mobile application (the "App"), operated by ASIP Technologies Inc. ("ASIP Technologies," "we," "us," "our"). By installing, accessing, or using the App, you agree to these Terms.

Under no circumstances shall ASIP Technologies be liable for any direct, indirect, special, incidental, or consequential damages, including, but not limited to, loss of data or profit, arising out of the use of, or the inability to use, the materials on this App, even if ASIP Technologies or an authorized representative has been advised of the possibility of such damages.

PlantID Pro is provided for general informational and educational purposes only. We reserve the right to revise pricing, scan limits, and feature availability at any time.

License

ASIP Technologies grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use PlantID Pro for personal, non-commercial purposes strictly in accordance with these Terms.

These Terms are a contract between you and ASIP Technologies. If you do not agree to these Terms, please do not use PlantID Pro. If you violate any of these Terms, we reserve the right to cancel your account or block access to your account without prior notice.

Definitions and key terms

To help explain things as clearly as possible in these Terms, every time any of these terms are referenced, they are strictly defined as:

• Company: when these Terms mention "Company," "we," "us," or "our," it refers to ASIP Technologies Inc., 8 The Green #26257, Dover, DE 19901, United States.
• Country: where PlantID Pro and ASIP Technologies Inc. are based — the United States.
• Device: any internet-connected device such as a phone or tablet that can be used to install and run the App.
• Service: the PlantID Pro mobile application and any associated server-side functionality we operate to support it.
• Third-party service: a service provider that processes data on our behalf to deliver core App functionality (for example, Plant.id / Kindwise for identification, OpenAI for care guidance, Supabase for authentication and storage, and RevenueCat for subscription management).
• You: an individual who installs, registers for, or otherwise uses the App, whether as a signed-in user or as a guest.

Eligibility and your account

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use PlantID Pro. If you are under 18, you should review these Terms with a parent or guardian.

You may use PlantID Pro as a guest without creating an account. To sync your plant collection across devices, manage a subscription, or use certain features, you must create an account using a valid email address and a password.

You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify us at support@plantid.pro if you suspect unauthorized access. You agree to provide accurate information when you create an account and to keep it current.

Restrictions

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the App or make it available to any third party.
• Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the App except as permitted by applicable law.
• Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of ASIP Technologies or its licensors.
• Use PlantID Pro to upload content you do not have the rights to use, content that violates the privacy or intellectual property rights of others, or unlawful, obscene, or harmful content.
• Interfere with or disrupt the App, our servers, or our service providers, or attempt to bypass usage limits, paywalls, or authentication mechanisms.
• Use automated scripts, bots, or scrapers to access the App.
• Use PlantID Pro for any illegal purpose.

Free plan, PlantID Pro subscription, and scan limits

PlantID Pro currently offers a free plan that allows up to five (5) plant identifications per calendar month. The counter resets at the start of each calendar month. Once the limit is reached, additional identifications are blocked until the start of the next month or until you subscribe to PlantID Pro.

When subscriptions become available, PlantID Pro will offer a paid subscription ("PlantID Pro Subscription") that unlocks unlimited plant identifications and additional features. Subscription pricing, billing, renewal, and cancellation are managed by Apple through your App Store account. Entitlement is managed by our subscription provider, RevenueCat. By subscribing you agree to the applicable App Store terms and to any pricing displayed at the time of purchase.

Subscriptions renew automatically until you cancel them. You can manage or cancel a subscription in your Apple ID subscriptions settings on your device. Refund requests are handled by Apple in accordance with its refund policy. If your subscription lapses or is cancelled, you will return to the free plan and its scan limits.

A PlantID Pro account is required for subscription-linked features and for cross-device cloud sync. Guest users can continue to use the free plan locally on the device they install the App on.

Plant identification — important disclaimer

PlantID Pro uses third-party machine-learning APIs (currently Plant.id / Kindwise) to identify plants from photos and uses third-party language models (currently OpenAI) to generate care guidance. Identification and care results may be inaccurate, incomplete, or out of date.

PlantID Pro is provided for general informational and educational purposes only. It is not a substitute for professional advice. Specifically:

• PlantID Pro is not a substitute for professional botanical, horticultural, agricultural, medical, veterinary, pharmaceutical, dietary, or legal advice.
• Do not rely on PlantID Pro to determine whether a plant is safe to eat, touch, brew, smoke, apply to skin, or give to pets, children, or livestock.
• Do not use PlantID Pro for any medical, emergency, or safety-critical decision.
• Always verify a plant's identity, toxicity, and edibility with a qualified expert (such as a local poison control center, a licensed veterinarian, or a certified botanist) before any consumption, contact, or use.

If you or someone in your care may have been exposed to a poisonous plant, contact your local poison control center or emergency services immediately. In the United States, you can reach the Poison Help Line at 1-800-222-1222.

Photo and image content

When you upload a photo to PlantID Pro for identification, you represent that you have the right to do so. You retain ownership of your photos. By uploading a photo you grant ASIP Technologies a limited, non-exclusive license to transmit, process, and store the photo solely to provide the identification, care guidance, and cloud-sync features of PlantID Pro.

You may delete an identified plant (and its associated image) from your collection at any time within the App.

Your suggestions

Any feedback, comments, ideas, improvements, or suggestions (collectively, "Suggestions") that you provide to ASIP Technologies with respect to the App shall remain the sole and exclusive property of ASIP Technologies. ASIP Technologies shall be free to use, copy, modify, publish, or redistribute Suggestions for any purpose and in any way without credit or compensation to you.

Your consent

By using PlantID Pro, registering an account, or starting a subscription, you consent to these Terms.

Links to other websites

These Terms apply only to the App. The App may contain links to websites that we do not operate. We are not responsible for the content, accuracy, or opinions expressed on those websites, and these Terms are no longer in effect when you follow a link away from the App. Your interaction with any linked website is subject to that website's own rules and policies.

Changes to the App and to these Terms

ASIP Technologies reserves the right to modify, suspend, or discontinue the App, in whole or in part, temporarily or permanently, with or without notice and without liability to you. We may also from time to time provide enhancements or improvements to the features and functionality of the App, which may include patches, bug fixes, updates, upgrades, and other modifications ("Updates"). Updates may modify or remove features. You agree that ASIP Technologies has no obligation to provide Updates or to continue to provide any particular feature.

We may update these Terms from time to time. If a revision is material we will provide reasonable notice before the new Terms take effect (for example, in the App or by email). What constitutes a material change will be determined at our sole discretion. By continuing to access or use the App after revised Terms take effect, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use PlantID Pro.

Third-party services

PlantID Pro depends on third-party services, including Plant.id / Kindwise (plant identification), OpenAI (care guidance), Supabase (authentication, database, and image storage), RevenueCat (subscription management, planned), and Apple's App Store. Their availability, accuracy, and terms are outside our control. We are not responsible for outages, errors, or content provided by these services. Third-party services and links to them are provided solely as a convenience to you, and you access and use them entirely at your own risk and subject to those third parties' terms and conditions.

Term and termination

These Terms shall remain in effect until terminated by you or by ASIP Technologies. ASIP Technologies may, in its sole discretion, at any time and for any or no reason, suspend or terminate these Terms with or without prior notice. These Terms will terminate immediately, without prior notice, if you fail to comply with any provision.

You may stop using PlantID Pro at any time by deleting the App from your device. You may request account deletion by emailing support@plantid.pro. Upon termination, you must cease all use of the App and delete all copies of the App from your devices. Termination will not limit any of ASIP Technologies' rights or remedies at law or in equity. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, intellectual property, and governing law) will survive.

Copyright infringement notice

If you are a copyright owner or such owner's authorized agent and believe that any material on PlantID Pro infringes your copyright, please contact us at support@plantid.pro and include: (a) a physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf; (b) identification of the material that is claimed to be infringing; (c) your contact information (address, telephone, email); (d) a statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner; and (e) a statement, under penalty of perjury, that the information in the notification is accurate and that you are the owner or authorized to act on the owner's behalf.

Indemnification

You agree to indemnify and hold ASIP Technologies and its parents, subsidiaries, affiliates, officers, employees, agents, partners, and licensors harmless from any claim or demand, including reasonable attorneys' fees, arising out of: (a) your use of the App; (b) your violation of these Terms or any applicable law or regulation; or (c) your violation of any right of a third party.

No warranties

THE APP IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE" AND WITH ALL FAULTS AND DEFECTS, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, ASIP TECHNOLOGIES, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITATION, ASIP TECHNOLOGIES MAKES NO REPRESENTATION OF ANY KIND THAT THE APP WILL MEET YOUR REQUIREMENTS, ACHIEVE INTENDED RESULTS, BE COMPATIBLE WITH OTHER SOFTWARE, OPERATE WITHOUT INTERRUPTION, BE ERROR-FREE, OR THAT IDENTIFICATION OR CARE RESULTS WILL BE ACCURATE.

Some jurisdictions do not allow the exclusion of or limitations on implied warranties, so some or all of the above exclusions and limitations may not apply to you.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ASIP TECHNOLOGIES OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING LOSS OF PROFITS, DATA, OR OTHER INFORMATION; FOR BUSINESS INTERRUPTION; FOR PERSONAL INJURY; OR FOR LOSS OF PRIVACY) ARISING OUT OF OR IN ANY WAY RELATED TO YOUR USE OF, OR INABILITY TO USE, THE APP, EVEN IF ASIP TECHNOLOGIES OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $50.

Some states or jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of that provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Waiver

No failure to exercise, and no delay in exercising, on the part of either party, any right or power under these Terms shall operate as a waiver of that right or power. No single or partial exercise of any right or power under these Terms precludes further exercise of that or any other right granted herein.

Entire agreement

These Terms, together with the Privacy Policy and any other legal notices published by ASIP Technologies in connection with PlantID Pro, constitute the entire agreement between you and ASIP Technologies concerning the App and supersede all prior and contemporaneous written or oral agreements.

Intellectual property

PlantID Pro and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection, and arrangement thereof), excluding user-uploaded content, are owned by ASIP Technologies, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. The material may not be copied, modified, reproduced, downloaded, or distributed in any way, in whole or in part, without the express prior written permission of ASIP Technologies, except as expressly provided in these Terms.

Agreement to arbitrate

This section applies to any dispute EXCEPT IT DOES NOT INCLUDE A DISPUTE RELATING TO CLAIMS FOR INJUNCTIVE OR EQUITABLE RELIEF REGARDING THE ENFORCEMENT OR VALIDITY OF YOUR OR ASIP TECHNOLOGIES' INTELLECTUAL PROPERTY RIGHTS. The term "dispute" means any dispute, action, or other controversy between you and ASIP Technologies concerning the App or these Terms, whether in contract, warranty, tort, statute, regulation, ordinance, or any other legal or equitable basis. "Dispute" will be given the broadest possible meaning allowable under law.

Notice of dispute

In the event of a dispute, you or ASIP Technologies must give the other a Notice of Dispute, which is a written statement that sets forth the name, address, and contact information of the party giving it, the facts giving rise to the dispute, and the relief requested. You must send any Notice of Dispute via email to support@plantid.pro. ASIP Technologies will send any Notice of Dispute to you by mail at the address we have on file, or otherwise to your email address. You and ASIP Technologies will attempt to resolve any dispute through informal negotiation within sixty (60) days from the date the Notice of Dispute is sent. After sixty (60) days, you or ASIP Technologies may commence arbitration.

Binding arbitration

If you and ASIP Technologies do not resolve a dispute by informal negotiation, any other effort to resolve the dispute will be conducted exclusively by binding arbitration as described in this section. You are giving up the right to litigate (or participate in as a party or class member) all disputes in court before a judge or jury. The dispute shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Either party may seek interim or preliminary injunctive relief from any court of competent jurisdiction as necessary to protect the party's rights or property pending the completion of arbitration. Any legal, accounting, and other costs, fees, and expenses incurred by the prevailing party shall be borne by the non-prevailing party.

Submissions and privacy

If you submit or post any ideas, creative suggestions, designs, photographs, information, data, or proposals — including ideas for new or improved products, services, features, technologies, or promotions — you expressly agree that such submissions will automatically be treated as non-confidential and non-proprietary and will become the sole property of ASIP Technologies without any compensation or credit to you. ASIP Technologies and its affiliates shall have no obligations with respect to such submissions or posts and may use the ideas contained in them for any purposes in any medium in perpetuity.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to PlantID Pro or these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. The App is operated and controlled from the United States and is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation.

Disclaimer

ASIP Technologies is not responsible for any content or imprecision in the App. ASIP Technologies does not provide warranties or guarantees. In no event shall ASIP Technologies be liable for any special, direct, indirect, consequential, or incidental damages or any damages whatsoever, whether in an action of contract, negligence, or other tort, arising out of or in connection with the use of the App or its contents. The App and its contents are provided "as is" and "as available" without any warranty or representation of any kind, whether express or implied.
